Terms of Service

1. About IntelisTech

IntelisTech is a software company that builds and operates cloud-based business applications. Our products are offered as subscription services (SaaS) designed for businesses of all sizes. These Terms apply to all IntelisTech products and platforms unless a specific product has its own supplemental terms, in which case both apply.

2. Acceptance of Terms

By registering for an account, starting a free trial, or using any IntelisTech Service, you confirm that you have read, understood, and agree to these Terms. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use our Services.

3. Accounts & Access

You are responsible for maintaining the security and confidentiality of your account credentials. You are responsible for all activity that occurs under your account, including actions taken by any users you authorize. You agree to:

• Provide accurate and up-to-date registration information
• Not share your credentials with unauthorized individuals
• Notify us immediately at basile@intelistech.com if you suspect unauthorized account access
• Not create accounts on behalf of others without their explicit consent

4. Permitted Use

You may use IntelisTech Services solely for lawful business purposes in accordance with these Terms and all applicable laws and regulations. You agree not to:

• Use the Services for any unlawful purpose or in violation of applicable laws
• Attempt to gain unauthorized access to any part of the Services or infrastructure
• Reverse engineer, decompile, or attempt to extract the source code of our software
• Use the Services to transmit spam, malware, or harmful content
• Resell, sublicense, or white-label the Services without written permission
• Interfere with or disrupt the integrity or performance of the Services

5. Subscription & Billing

IntelisTech products are offered on a subscription basis, billed monthly or annually depending on the plan selected at checkout. Key billing terms:

• Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Payment processing: All payments are processed securely through Stripe. By subscribing, you authorize IntelisTech to charge your payment method on a recurring basis.
• Free trials: Where offered, free trials allow you to use the Service at no charge for a specified period. If you do not cancel before the trial ends, your selected plan begins billing automatically.
• Price changes: We reserve the right to change subscription prices with at least 30 days notice. Continued use after a price change constitutes acceptance.
• Failed payments: If a payment fails, we will attempt to notify you and may suspend access until payment is resolved.

6. Cancellation

You may cancel your subscription at any time from your IntelisTech account dashboard under Billing. Cancellation takes effect at the end of the current billing period. You will retain full access to the Services until that date. After cancellation, your account and associated data may be retained for a period in accordance with our data retention policy before being permanently deleted.

7. Refund Policy

All sales are final. We do not provide refunds or credits for partial use of a billing period, unused features, or periods during which the Service was available but not used. If you believe you have been charged in error, contact us at basile@intelistech.com within 14 days of the charge, and we will investigate promptly.

8. Your Data

You retain ownership of all data you submit to IntelisTech Services ("Your Data"). By using our Services, you grant IntelisTech a limited license to process, store, and transmit Your Data solely to provide and improve the Services.

We will not sell Your Data to third parties. How we collect, use, and protect your information is described in detail in our Privacy Policy.

9. Communications & SMS

Some IntelisTech products (including ezmedtrip) send transactional SMS messages via third-party providers such as Twilio. These messages are operational in nature (e.g., confirmations, notifications, scheduling updates). By entering phone numbers into a Service, you represent that the recipients have consented to receive such messages. Standard carrier message and data rates may apply. We do not send unsolicited marketing SMS to your clients or end users.

10. Third-Party Services

IntelisTech relies on trusted third-party infrastructure providers to deliver its Services, including:

• Stripe — payment processing and subscription management
• Supabase — database and authentication infrastructure
• Twilio — SMS and communication delivery
• Vercel — hosting and content delivery

By using our Services, you acknowledge that your data may be processed by these providers under their respective terms and privacy policies.

11. Intellectual Property

All IntelisTech products, including software, design, trademarks, and brand assets, are the exclusive property of IntelisTech. Nothing in these Terms grants you any ownership rights in IntelisTech's intellectual property. You may not copy, reproduce, or distribute any part of our Services without prior written consent.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELISTECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL INTELISTECH'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO INTELISTECH IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to indemnify and hold harmless IntelisTech, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

15. Termination

Either party may terminate the relationship under these Terms at any time. You may terminate by cancelling your subscription. We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use the Services ends immediately, though provisions that should survive (such as liability limits and data clauses) will continue to apply.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland and applicable European Union regulations, including the General Data Protection Regulation (GDPR) where applicable. Any disputes arising from these Terms or your use of the Services shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of Poland.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notification with reasonable advance notice. The "Last updated" date at the top of this page will always reflect the most recent revision. Continued use of any IntelisTech Service after the effective date of a change constitutes your acceptance of the revised Terms.
